Technology distributor ScanSource announced a definitive agreement to acquire VAR/MSP MicroAge. The acquisition is expected to close on Sept. 30, pending approvals, adding more than 2,400 U.S. customers and more than 200 employees to ScanSource.
MicroAge provides ScanSource with a certified team of specialized solutions architects and established partnerships with leading suppliers including Microsoft, Dell, Sophos, HPE, CrowdStrike, and VMware. The purchase seems to be another move by ScanSource to encourage technology advisors on its Intelisys side to sell more of the hardware from the ScanSource side. Rather than sell hardware or MSP services directly, TAs often team up with VARs or MSPs for an ecosystem play. TSDs such as ScanSource’s Intelisys division sometime act as intermediaries between the two. With the MicroAge purchase, ScanSource now owns the MSP/VAR side of that equation.
“MicroAge is an amazing, legendary company that has had tremendous brand recognition for more than 50 years,” said Mike Baur, Chair and CEO, ScanSource, Inc. “The acquisition expands ScanSource’s total addressable market, adds new services capabilities, and provides greater visibility into end-user needs.”
Under the agreement, ScanSource will acquire MicroAge in an all-cash transaction for a purchase price of $220.5 million, payable at closing. ScanSource expects to fund the acquisition through borrowings under its existing credit facility.
